1. Introduction

Welcome to TimePlate ("the Platform"), a restaurant employee attendance and workforce management system — a product of SlashHub Limited ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of:

• The TimePlate mobile application ("Mobile App")
• The TimePlate admin web application ("Admin Web App")
• The TimePlate API and backend services
• All associated websites, dashboards, and related services (collectively, "the Services")

Please read these Terms carefully before using the Services. By registering an account, downloading the Mobile App, accessing the Admin Web App, or using any part of the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

To use the Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract
• Not be prohibited from receiving services under applicable law
• Provide accurate, current, and complete registration information

You are solely responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

We implement Firebase Authentication with optional biometric (fingerprint/face ID) login on supported mobile devices. We recommend enabling biometric authentication for enhanced security.

3.4 Account Termination

We reserve the right to suspend or terminate any account at any time, for any reason or no reason, with or without notice, in our sole discretion, including but not limited to if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Create security risks to the Platform or other users
• Remain inactive for 12 consecutive months

4. Subscription and Billing

4.1 Subscription Plans

We offer various subscription plans. Plans, pricing, features, inclusions, exclusions, availability, and all other plan attributes are determined at our sole discretion and may be modified, added, removed, or discontinued at any time without notice. The following are illustrative examples current as of the date of these Terms and are not binding commitments:

• Subscriptions are billed monthly or annually as selected during checkout
• All fees are non-refundable except as required by applicable law
• We use Airwallex as our payment processor. We do not store full payment card details
• Prices are in Hong Kong Dollars (HKD) unless otherwise stated
• We reserve the right to change pricing, billing methods, and subscription terms at any time, in our sole discretion, with or without notice

4.3 Add-On Services

Additional services (white-label branding, advanced analytics, training) may be purchased separately. Terms for add-ons are as specified at the time of purchase.

4.4 Free Trial

We may offer a free 30-day trial of any paid plan (Starter, Plus or Pro). No credit card is required to start. The trial may be started at signup by selecting a paid plan, or later from the Subscription page, and each company may use it once. If you choose the Free plan at signup, the trial remains available to start at any time. At the end of the trial period, your company automatically moves to the Free plan unless you subscribe to a paid plan — you will not be charged automatically and no payment method is required to begin the trial.

4.5 Cancellation

You may cancel your subscription at any time via the Settings or Subscription page. Cancellation takes effect at the end of the current billing period. No partial refunds are provided.

4.6 Non-Payment

If payment is not received when due, we may suspend or terminate access to the Services immediately, without notice, at our sole discretion. Accounts with unpaid balances may be terminated at any time thereafter. All timeframes referenced in these Terms are illustrative only and subject to change at our sole discretion.

5. Services Description

TimePlate may provide restaurant workforce management features. All features, functions, capabilities, and services described herein are illustrative and subject to change, modification, suspension, or discontinuation at any time without notice, at our sole discretion. The following are examples only and not a guarantee of availability:

WE DO NOT GUARANTEE ANY LEVEL OF UPTIME, AVAILABILITY, OR UNINTERRUPTED ACCESS TO THE SERVICES. The Services may be unavailable at any time, for any reason or no reason, at our sole discretion, including for scheduled maintenance, emergency repairs, or events beyond our control (force majeure).

6. User Conduct and Obligations

6.1 Prohibited Activities

You agree NOT to:

Employees must:

• Clock in and out only for their own shifts
• Use only authorized verification methods
• Report any discrepancies in attendance records to their manager promptly

Managers and owners must:

• Ensure attendance records are accurate and not falsified
• Use the manual override feature only for legitimate corrections
• Maintain compliance with the HK Employment Ordinance regarding wage and hour records

6.3 Compliance with Laws

Restaurants are responsible for ensuring their use of the Platform complies with:

• The HK Employment Ordinance (Cap. 57)
• The Personal Data (Privacy) Ordinance (Cap. 486)
• The Occupational Safety and Health Ordinance (Cap. 509)
• All other applicable laws and regulations

7. Intellectual Property

7.1 Our IP

The Services, including all software, algorithms, design, text, images, logos, and underlying technology, are owned by SlashHub Limited and protected by copyright, trademark, and other intellectual property laws.

7.2 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. This license does not permit:

• Sub-licensing, selling, or renting access to the Services
• Modifying or creating derivative works of the Platform
• Using the Services for competitive analysis

7.3 Your IP (User Data)

You retain all rights to the User Data you submit. You grant us a worldwide, royalty-free license to host, store, process, and transmit your User Data solely to provide the Services to you.

7.4 Feedback

If you provide suggestions, enhancement requests, or other feedback, we may use it without restriction or compensation.

8. Privacy and Data Protection

8.1 Data We Collect

We collect and process data as described in our Privacy Policy. Key categories include:

8.3 Data Retention

We retain User Data for such periods as we determine in our sole discretion. Retention periods are subject to change at any time without notice. We are under no obligation to retain any data for any minimum period. Upon account termination, we may delete User Data at any time thereafter in our sole discretion.

8.4 Data Security

We implement industry-standard security measures including:

• Encryption in transit (TLS 1.3) and at rest (AES-256)
• Firebase Authentication with Custom Claims for role-based access control
• Regular security audits and penetration testing
• Signed URLs for file storage access

8.5 Service Improvement & Model Training

We may use data from the Services for machine learning model training, algorithm improvement, and product development, in our sole discretion. All use of data for training is subject to our Privacy Policy. Any descriptions of our data practices in this section are illustrative and subject to change at any time without notice.

9. Platform Disclaimer & Complete Liability Shifting

9.1 TimePlate Is a Software Tool Only — SlashHub Is Not Your Employer

TimePlate is a software platform provided by SlashHub Limited. SlashHub Limited is not your employer, not your payroll processor, not your legal advisor, and not your compliance officer. We provide the software "as is." You bear full responsibility for how you use it.

9.2 No Warranties — No Responsibility for Third-Party Platforms

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TimePlate relies entirely on third-party platforms and infrastructure that we do not control. We are NOT responsible for:

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• WE ARE NOT LIABLE FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION

9.4 Critical Systems & Legal Compliance Disclaimer

TimePlate is an attendance tracking and workforce management tool. It is not a payroll processing system, legal compliance system, or substitute for professional legal or accounting advice. You are solely responsible for:

10. Indemnification

You agree to indemnify, defend, and hold harmless SlashHub Limited, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including full legal fees) arising from or relating to:

• Your use of the Services (including any authorized or unauthorized use)
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Disputes between you and your employees, contractors, or third parties regarding attendance records, wages, or any other matter
• Any claim brought against SlashHub Limited by your employees or third parties in connection with your use of the Services
• Your violation of any rights of another person or entity

You agree to pay all costs and expenses (including full legal fees) incurred by SlashHub Limited in defending any such claim. SlashHub Limited reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with SlashHub Limited in asserting any available defenses.

11. Termination

11.1 Termination by You

You may terminate your account at any time via account settings or by contacting us.

11.2 Termination by Us

We may terminate or suspend your account at any time, for any reason or no reason, with or without notice, in our sole discretion, including but not limited to if:

• You breach these Terms
• Your subscription payment fails and remains unpaid for 30+ days
• We are required by law to terminate
• Continued provision would create legal or security risk

11.3 Effect of Termination

Upon termination:

• Your access to the Services ceases immediately
• We may, in our sole discretion, provide a data export upon request within a reasonable timeframe
• We may delete all User Data at any time after termination, in our sole discretion
• Prepaid fees are non-refundable

12. Changes to Terms

We may modify these Terms at any time, in our sole discretion, with or without notice. All changes are effective immediately upon posting. We may notify you of material changes via email, in-app notification, or notice on the Admin Web App, but we are under no obligation to provide notice of any kind. Your continued use of the Services after any changes constitutes acceptance of the modified Terms. If you do not agree, you must immediately stop using the Services.

13. Governing Law and Disputes

13.1 Governing Law

These Terms are governed by the laws of the Hong Kong Special Administrative Region.

13.2 Dispute Resolution

Any disputes, claims, or controversies arising from or relating to these Terms or the Services shall be resolved exclusively by the courts of the Hong Kong Special Administrative Region. You hereby irrevocably submit to the personal jurisdiction of such courts and waive any objection based on improper venue or forum non conveniens.

13.3 Waiver of Jury Trial

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY HEREBY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES.

14. Third-Party Services — No Responsibility

The Platform integrates with and relies upon the following third-party services that we do not own, control, or operate:

14.1 Your Relationship Is With Us, Not With Third Parties

Any claim, dispute, or liability related to the Services shall be directed to SlashHub Limited, not to any third-party platform or service provider listed above. You agree not to bring any claim against Apple, Google, Stripe, or any other third-party platform in connection with the TimePlate Services.

14.2 Independent Review Required

Each third-party service has its own terms of service and privacy policy. We strongly encourage you to review them. SlashHub Limited is not responsible for and makes no representation regarding any third-party's practices, policies, or compliance.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with the Privacy Policy and EULA, constitute the entire agreement between you and SlashHub Limited.

15.2 Severability

If any provision of these Terms is held invalid, the remaining provisions remain in full force.

15.3 Waiver

Our failure to enforce any provision is not a waiver of our right to enforce it later. No waiver of any term shall be effective unless in writing and signed by an authorized representative of SlashHub Limited.

15.4 No Presumption Against Drafter

These Terms shall not be construed against SlashHub Limited solely because they were drafted by SlashHub Limited. To the extent any ambiguity exists, these Terms shall be interpreted in favor of SlashHub Limited.

15.5 SlashHub's Sole Discretion

All determinations, interpretations, and decisions regarding these Terms, the Services, your Account, and all related matters are at SlashHub Limited's sole and absolute discretion and are final and binding on you. SlashHub Limited's determinations need not be reasonable or justified. You acknowledge that SlashHub Limited retains unilateral authority to make all decisions regarding the Services, your access, and your compliance, and you waive any right to challenge such determinations.

15.6 Legal Interpretation

SlashHub Limited reserves the sole and exclusive right to interpret how any applicable laws, regulations, or legal requirements apply to the Services, these Terms, and all related matters. SlashHub Limited's interpretation of any legal requirement is final and binding on you. You waive any right to assert that SlashHub Limited's interpretation of any law is incorrect, that SlashHub Limited should have acted differently under any legal standard, or that any change in law obligates SlashHub Limited to modify the Services or its practices. Nothing in this section places SlashHub Limited above the law — this section establishes that SlashHub Limited, not you, determines how the law applies to the Services.

15.7 Assignment

You may not assign these Terms without our written consent. We may assign these Terms upon notice to you.
